1. Agreement and acceptance

These Terms are a binding agreement between 502ZONE LLC ("502ZONE", "we", "us") and you. They cover this website (502.zone and its subdomains), the Nexum collections platform ("Nexum"), the optional software modules licensed for use with Nexum ("Modules"), and the installation and support we provide (together, the "Services"). The Services are for businesses, not consumers. If you use them for a business (the "Agency"), you agree to these Terms for that business and confirm you have authority to bind it. If you do not agree, do not use the Services. We may change these Terms. Material changes will be posted on this page with a new "last updated" date, and continuing to use the Services after that date means you accept them. A written agreement signed by both parties controls over these Terms wherever the two conflict.

2. Using this website

The public demo (demo.502.zone) runs on fictional data. Do not enter real personal, account or payment information into it. Nothing shown in the demo is a real consumer, account or client. Our website includes an AI chat assistant called MIA. MIA can be wrong, does not give legal or compliance advice, and cannot make offers, quotes or contracts. Pricing, scope and terms are only binding when confirmed by us in writing. You agree not to misuse the website: no unlawful activity, no scraping or automated harvesting, no attempts to reach non-public areas or to disrupt the site, no malware, and no impersonating another person or business.

3. The Nexum core license

Nexum, including its CRM and staff portal, is licensed to the Agency free of any license fee and without per-seat charges. It is proprietary software. It is not open source, and nothing in these Terms grants rights under any open-source license. Subject to these Terms, we grant the Agency a non-exclusive, non-transferable, non-sublicensable, revocable license to run Nexum on the Agency's own AWS account for the Agency's internal business operations. That includes use by the Agency's employees and contractors, and by the Agency's own clients through the portals Nexum provides. We own Nexum and every Module, including all source code, designs and documentation. No ownership passes to the Agency. We may release updates to Nexum at our discretion and are not obliged to release any particular feature.

4. Installation and support

502ZONE performs every installation of Nexum, at no charge. Agencies do not install it themselves. We coordinate with the Agency and set Nexum up on the Agency's own AWS account. To install, update and support the software, the Agency authorizes us to hold administrative access to the Nexum application and to the AWS resources it grants us for that work. We use that access only to install, license, update, troubleshoot and support the Services, and the Agency may limit, suspend or revoke it at any time. The Agency owns, controls and administers its AWS account and everything stored in it. We do not host the Agency's production data. Support is provided as agreed with the Agency; we do not promise a response time or an uptime level unless a written agreement says so.

5. Modules, purchase and updates

Modules are optional add-ons built and owned by 502ZONE. They are bought and installed from inside the Nexum dashboard. Each Module is licensed, not sold: the Agency receives the right to use that Module under the same terms as Section 3, for the Agency's own operations. A Module purchase is a one-time payment. It includes one year of updates, starting on the purchase date. After that year the Agency may keep using the last version it received, with no new updates and no new features from us. That version continues to work; it simply is not updated. The Agency may renew updates for a further year by agreement with us, at a reduced renewal price that we will quote in writing. Renewal is never automatic. We do not charge a card or account for renewal unless the Agency has agreed to it. Choosing not to renew does not end the Agency's license to the version it already has. We publish a version list and changelog for each Module so the Agency can see what each update contains and decide whether renewing is worthwhile. Prices are shown at checkout or in our written quote. Payment is processed by a third-party payment provider, and we do not store card numbers.

6. Restrictions

The Agency will not, and will not let anyone else:
  • copy, resell, sublicense, rent, lease or distribute Nexum or any Module, except as these Terms allow;
  • decompile, reverse engineer or try to extract source code, except where the law forbids this restriction;
  • remove or hide licensing, copyright or ownership notices;
  • bypass or tamper with license checks, update checks or any technical control;
  • use Nexum or a Module to build a competing product, or to offer it to other agencies as a service;
  • run Nexum or a Module for an entity other than the licensed Agency, or on infrastructure outside the Agency's control without our written consent.
The Agency is responsible for every person who uses Nexum under its account.

7. The Agency's data and responsibilities

Nexum runs on the Agency's own AWS account. The Agency owns its data, including debtor, account, payment, call and communication records, and decides how it is collected, used, kept and deleted. We claim no ownership of it. Because the Agency controls the data, the Agency is solely responsible for:
  • the lawfulness of its collections activity, including the FDCPA, Regulation F, the FCRA, the TCPA, state collection and licensing laws, and equivalent laws outside the United States;
  • obtaining every consent and giving every notice required to contact people by phone, SMS, email or mail, and honoring opt-outs and do-not-contact requests;
  • call recording and monitoring notices and consents;
  • its AWS account, security settings, backups, access controls and user permissions;
  • the content of every template, script, message and campaign it sends;
  • the accuracy of its data and its reporting to any credit bureau or other third party.
Nexum is a tool. It does not make the Agency compliant, and nothing in the Services is legal or compliance advice. Scoring, grading, scheduling and automation features are aids to the Agency's own judgment, and the Agency remains responsible for the results.

8. Third-party services and AI features

Nexum and some Modules connect to services the Agency chooses and pays for itself, such as telephony and SMS carriers, email providers, payment processors, credit bureaus, cloud hosting and AI providers. The Agency holds those accounts, enters its own credentials, and is bound by the provider's own terms. We do not control those services and are not responsible for their availability, fees, accuracy or conduct. Credentials are stored in the credential vault inside the Agency's own installation. They are encrypted at rest. The Agency is responsible for choosing strong credentials, limiting their scope and rotating them when needed. Where the Agency turns on AI features, content is sent to the AI provider the Agency has configured, under the Agency's own agreement with that provider. 502ZONE does not use the Agency's data to train models. We cannot promise how a third-party provider handles data, so the Agency should review that provider's terms before enabling the feature. AI output can be wrong or incomplete and must be reviewed by a person before the Agency relies on it.

9. Intellectual property and feedback

502ZONE keeps all rights in Nexum, the Modules, the 502ZONE and Nexum names and logos, and all documentation. The Agency keeps all rights in its own data, content and branding, and gives us a limited right to use them only as needed to provide the Services. If the Agency sends us suggestions or feedback, we may use them freely without payment or obligation. We do not use the Agency's name or logo in marketing without its permission.

10. Fees, taxes and refunds

There is no fee for the Nexum core license or for installation. Module prices and renewal prices are shown at checkout or in our written quote. Prices are in U.S. dollars and exclude taxes, which the Agency pays where applicable. Because a Module is delivered digitally and is available immediately, purchases are final once the Module has been installed, except where the law requires otherwise or we agree in writing. If a Module does not work as documented, tell us and we will work with you to fix it first. Any refund we approve is at our discretion and is returned to the original payment method.

11. Term and termination

These Terms apply from the day the Agency first uses the Services and continue until ended. The Agency may stop using the Services at any time and may uninstall Nexum from its own AWS account. We may suspend or end the Agency's license if the Agency materially breaches these Terms, uses the Services unlawfully, or does not pay an amount it owes, and does not fix the problem within 15 days of our written notice. We may end it immediately where the breach is incurable, such as a violation of Section 6. On termination the Agency stops using the licensed software, and we may remove our administrative access. Because the Agency's data lives in its own AWS account, it stays with the Agency; we do not hold it and will not delete it. Sections 6, 7, 9 and 12 to 16 survive termination.

12. Disclaimer of warranties

THE SERVICES, NEXUM AND ALL MODULES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, 502ZONE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED OR SECURE, OR THAT USING IT WILL MAKE THE AGENCY COMPLIANT WITH ANY LAW. The Agency runs the software on its own infrastructure and is responsible for its availability, backups and security. Software that no longer receives updates (Section 5) may develop incompatibilities or security gaps over time, and the Agency accepts that risk when it chooses not to renew.

13. Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS, 502ZONE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, OR FOR ANY CLAIM, FINE OR PENALTY ARISING FROM THE AGENCY'S COLLECTIONS ACTIVITY, EVEN IF WE WERE TOLD THEY WERE POSSIBLE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT THE AGENCY PAID US FOR THE SPECIFIC MODULE OR SERVICE GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE CLAIM. For the free Nexum core license, that amount is zero, and our total liability is limited to US$100. Some jurisdictions do not allow certain limits, so parts of this Section may not apply to you.

14. Indemnification

The Agency will defend and indemnify 502ZONE, its owners and personnel against claims, losses and expenses (including reasonable legal fees) brought by a third party, including a consumer, regulator or credit bureau, arising from the Agency's collections activity, its data, its messages and campaigns, its breach of these Terms, or its violation of law. We will promptly tell the Agency of any claim, and the Agency may control the defense, but may not settle a claim in a way that admits fault for 502ZONE without our written consent.

15. Governing law and disputes

These Terms are governed by the laws of Texas, United States, without regard to conflict-of-law rules. The parties will first try to resolve any dispute informally by written notice and 30 days of good-faith discussion. If that fails, disputes will be resolved exclusively in the state or federal courts located in Travis County, Texas, and each party consents to that venue. Either party may seek injunctive relief to protect its intellectual property in any competent court. To the extent the law allows, claims must be brought individually and not as a class or representative action.

16. General and contact

These Terms, with any signed agreement or written quote, are the entire agreement between the parties on this subject. If a provision is unenforceable, the rest stays in force. Failing to enforce a right is not a waiver of it. The Agency may not assign these Terms without our consent; we may assign them in a merger or sale of our business. Neither party is liable for delays caused by events beyond its reasonable control.
